Proposed change to Constitution

It’ll be a jam packed day; after the AGM business and a quick run through the highlights of 2025/25, we’ll be looking at Devolution in Cumbria, and what opportunities this might offer.

We also need to give you formal notice that at the AGM, we’ll be asking members to vote on a change to our constitution.
This isn’t a big change.
Currently, our Trustees have to retire after 6 years in the role – but after a year’s break, they can then serve for another 3 years.
We want to remove the requirement for the year’s break and simply allow Trustees to serve for up to 9 years. We find that most people want to gain several years’ experience as a Trustee before taking on roles such as Chair and Treasurer, and this change will help us to ensure continuity in those key roles.

The following resolution to be considered at the Company’s annual general meeting to be held on 3 December 2025
SPECIAL RESOLUTION
That clauses 25.4 and 25.5 of the Articles of Association:
25.4 At the sixth annual general meeting of the Charity after his initial election by the members each Director shall retire.
25.5 After at least one year out of office any such Director is eligible for re-election by the members but may only serve as a Director for a maximum of three further years after his re-election.
Be deleted and replaced with the following:
25.4 At the ninth annual general meeting of the Charity after his initial election by the members each Director shall retire.
